Which legal entities are required to carry out the statutory audit of their financial statements?

a) all commercial companies, regardless of their form, which apply the International Financial Reporting Standards; b) all joint-stock companies, which apply the National Accounting Standards for their financial reporting; c) limited liability companies, which apply the National Accounting Standards for their financial reporting, where, at the close of the accounting period, for two consecutive years, they exceed two of the following three indicators: i. the total balance sheet assets, at the close of the relevant accounting period, reach or exceed the amount of 50 million lekë; ii. the amount of income from economic activity (turnover) in that accounting period reaches or exceeds the amount of 100 million lekë; iii. there are, on average, 30 employees during the accounting period.

Which authority appoints statutory auditors?

The procedures for appointing the statutory auditor or audit firm are determined, as applicable, by the rules on the governance of commercial companies, by the relevant laws where the companies operate in regulated sectors, or by their supervisory authorities or the acts that govern their operation. Furthermore, Law No.9723 (05/2007) 'On the National Registration Centre', Article 43.3 (b), has made it mandatory to register the decision appointing the SAs. SAs are required to ensure that clients reflect the appointment and any change in appointment in a timely manner, in the mandatory data that the client declares to the NRC, which the latter then publishes, thereby granting public access.

What is the time limit for preparing the audit file?

After completing the arrangement of the final audit file and until the end of the period prescribed for its retention, the auditor is not permitted to delete or remove audit documents of any nature whatsoever before the end of its retention period.

What are the financial obligations of Statutory Auditors who practise the profession?

In application of Article 29 of the Statute and of Decision No. 146 dated 17.12.2020 of the General Assembly of Members: The fixed fee is 60,000 lekë and the payment deadline is 28 February; the variable fee, calculated on the basis of the amount of fees invoiced from engagements performed, is 0.5% of total income for the total income level from 0-8 million lekë and 0.3% of total income for the total income level above 8 million lekë, and the payment deadline is 20 January. For each month of delay in paying the fee, in accordance with the Statute, late interest of 1% per month is applied on the amount of the unpaid fee. What are the obligations of members who do not practise the profession?

They pay a fixed amount of 8,000 lekë each year, the payment deadline for which is 28 February. They must undertake continuing professional development. Before being included in the Public Register, these individuals must have fulfilled the continuing professional development requirements. Where they have not taken part in continuing professional development, they must be tested on their knowledge for the sessions missed before being included in the public register.
